Please read these Terms of Service carefully before using Codend. They govern your rights and obligations as a user of the Service and contain important information including limitations of liability and dispute resolution.

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bungarus Technologies ("Bungarus Technologies," "we," "us," or "our"), an Indian technology company, governing your access to and use of the Codend platform, including the Codend command-line interface ("Codend CLI"), the Codend web dashboard ("Codend Web"), all associated APIs, cloud infrastructure, and any features or tools offered as part of the Service (collectively, the "Service"). By registering for a Codend account, installing the Codend CLI, or otherwise accessing or using any part of the Service, you expressly agree to be bound by these Terms, our Privacy Policy (available at codend.tech/privacy), and any additional terms or policies we may publish from time to time. If you do not agree to these Terms, you must not access or use the Service. These Terms govern all users of the Service, including but not limited to: — Individual developers using the Free tier. — Individual subscribers on Starter, Architect, or Builder plans. — Team members added to a Builder plan workspace. — Any automated systems or scripts accessing the Codend API on behalf of an authenticated user. If you are using Codend on behalf of an organization or company, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms shall include both you individually and that organization.

2. Definitions

For the purposes of these Terms, the following definitions apply: "Account" means the user account you create to access the Service, associated with your email address and authenticated through Firebase Authentication. "Codend Web" means the web-based dashboard accessible at codend.tech, providing session history, usage analytics, project management, web-based AI chat, and account settings. "Energy Points" or "EP" means the usage currency consumed when you make requests through the Service. Different models and request types consume different amounts of EP per token processed. "Five-Hour Window" means a rolling five-hour period beginning from your first request, during which a fixed EP quota applies. A new window begins when the previous window expires. "Seven-Day Window" means a rolling seven-day period beginning from your first request in that period, during which a weekly EP quota applies. A new window begins when the previous window expires. "Plan" means one of the subscription tiers available: Free, Starter ($16/month), Architect ($40/month), or Builder ($120/month), each with associated EP quotas, feature access, and rate limits. "Prompt" means any text input or instruction submitted by you through the CLI or web dashboard to be processed by an AI model. "Response" means the AI-generated output returned to you in reply to a Prompt. "Session" means a conversation thread between you and one or more AI models, identified by a unique session ID. "Workspace" means a scoped project directory mapped using codend init, which provides file context to the AI model during CLI interactions. "Sandbox" means an isolated execution environment available on Starter plans and above, enabling safe execution of AI-generated code. "Third-Party AI Provider" means any external AI model company whose models are accessible through the Codend platform, including Anthropic, OpenAI, Google, Mistral AI, DeepSeek, and others.

3. Eligibility and Account Registration

3.1 Age Requirement You must be at least 13 years of age to create a Codend account. If you are under 18, you represent that you have obtained parental or guardian consent. We reserve the right to terminate accounts that we believe belong to users who do not meet the age requirement. 3.2 Account Creation To use the Service beyond the CLI's unauthenticated preview mode, you must register an account by providing your full name, a valid email address, and a password meeting our minimum security requirements (minimum 6 characters). You must complete email verification using the 6-digit code sent to your registered email address. 3.3 Accuracy of Information You represent and warrant that all information you provide during registration and at all times during your use of the Service is accurate, current, and complete. You agree to promptly update your account information to keep it accurate. 3.4 Account Security You are solely responsible for maintaining the confidentiality of your account credentials. You agree to: — Not share your account credentials with any third party. — Not allow any other person to use your account. — Immediately notify us at bungarustechnologies@gmail.com if you suspect unauthorized access to your account. — Use a strong, unique password for your Codend account. We will not be liable for any loss or damage arising from unauthorized use of your account resulting from your failure to maintain the security of your credentials. 3.5 One Account Per User Each individual may maintain only one Codend account unless explicitly authorized by Bungarus Technologies. Creating multiple accounts to circumvent rate limits, subscription requirements, or other restrictions is a material breach of these Terms. 3.6 Account Termination by You You may close your account at any time from Settings → Account → Delete Account in the web dashboard. Account deletion is permanent and irreversible. Please refer to our Privacy Policy for details on data retention following account deletion.

4. Subscription Plans and Pricing

4.1 Available Plans Codend offers the following subscription plans: Free Plan: No charge. Includes 1M Energy Points per billing period, access to Codend Light model only, CLI access, and basic web dashboard features. Rate limits apply as described in Section 5. Starter Plan ($16 USD/month): Includes 7M Energy Points per billing period, access to all available AI models, CLI access, Codend Light sandbox, and custom instruction support. Architect Plan ($40 USD/month): Includes 20M Energy Points per billing period, access to all available AI models, CLI access, Codend Pro sandbox, parallel tool calls, and sub-agent spawning features. Builder Plan ($120 USD/month): Includes 100M Energy Points per billing period, access to all available AI models, CLI access, Codend Pro sandbox, deep test loops, sub-agent spawning, and team workspace features supporting up to 10 seats. 4.2 Plan Changes You may upgrade or downgrade your plan at any time through the Plans & Billing section of the web dashboard. Upgrades take effect immediately upon successful payment. Downgrades take effect at the start of the next billing cycle. We do not prorate refunds for mid-cycle downgrades. 4.3 Price Changes Bungarus Technologies reserves the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price change via email and a dashboard notice. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing. 4.4 Currency All prices are denominated in United States Dollars (USD) unless otherwise stated. Razorpay may apply currency conversion for Indian Rupee (INR) billing based on prevailing exchange rates at the time of payment. 4.5 Taxes You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your purchase of a Codend subscription. Prices displayed do not include GST or other applicable taxes unless expressly stated.

5. Energy Points System and Rate Limits

5.1 How Energy Points Work Energy Points (EP) are a unit of usage currency that measures the computational cost of your requests on the Codend platform. Each AI model request consumes a number of EP proportional to the number of tokens processed (both input tokens in your Prompt and output tokens in the Response). Different AI models consume different amounts of EP per token due to varying inference costs. 5.2 Rolling Window Rate Limits Codend uses rolling-window rate limits rather than fixed calendar-based resets: Five-Hour Rolling Window: Your five-hour EP quota begins when you send your first request within a new window. The quota resets five hours after that first request. If you have not sent any requests, the window has not started and no EP are consumed. Seven-Day Rolling Window: Your weekly EP quota begins when you send your first request within a new seven-day period. The quota resets seven days after that first request. This rolling approach means your weekly limit does not reset at midnight on a fixed day of the week; it resets exactly seven days after your usage began. 5.3 Quota Exhaustion If you exhaust your EP quota within the current five-hour or seven-day window, subsequent requests will be rejected with an error message indicating the applicable window reset time. You will not be charged additional fees for quota exhaustion; your subscription cost remains fixed regardless of whether you use all your EP. 5.4 EP Transparency The web dashboard displays: — Current EP consumed in the active five-hour window vs. the five-hour limit. — Current EP consumed in the active seven-day window vs. the weekly limit. — Countdown timers showing when each window will reset. — Historical usage charts showing EP consumption over time. 5.5 No EP Rollover Unused EP do not carry over from one billing period, five-hour window, or seven-day window to the next. EP is a use-it-or-lose-it resource. 5.6 EP Add-Ons Additional EP beyond your plan's included allocation may be available for purchase as an add-on on Architect and Builder plans. Details and pricing for EP add-ons are available in the Plans & Billing section of the dashboard.

6. Payment and Billing

6.1 Payment Processor All payment processing for Codend subscriptions is handled by Razorpay Technologies Pvt. Ltd. ("Razorpay"), a third-party payment service provider. By initiating a subscription, you agree to Razorpay's terms of service and privacy policy in addition to these Terms. 6.2 Payment Methods Razorpay supports a wide range of payment methods including UPI, credit cards, debit cards, net banking, and digital wallets. The availability of specific payment methods may vary based on your location. 6.3 Billing Cycle Paid subscriptions are billed monthly on a recurring basis. Your billing cycle begins on the date your subscription is first activated and renews on the same calendar date each subsequent month. 6.4 Failed Payments If a payment fails, we will attempt to notify you via email. If payment remains outstanding for more than 7 days, we may suspend access to paid features until payment is resolved. If payment remains outstanding for more than 30 days, we may terminate your subscription and downgrade your account to the Free tier. 6.5 Refund Policy Subscription fees are generally non-refundable. We do not provide refunds for: — Partial months of service following a downgrade or cancellation. — Unused Energy Points. — Service interruptions caused by factors outside our control. We may, at our sole discretion, issue a refund or credit in exceptional circumstances. To request a refund, contact us at bungarustechnologies@gmail.com within 7 days of the disputed charge. 6.6 Cancellation You may cancel your subscription at any time from the Plans & Billing section of the web dashboard. Cancellation stops future recurring charges. Your access to paid features continues until the end of the current billing period. 6.7 Dispute Resolution for Payments If you believe a charge is incorrect, please contact us at bungarustechnologies@gmail.com before initiating a chargeback with your bank or card issuer. Initiating an unwarranted chargeback may result in immediate suspension of your account.

8. CLI Usage and Installation

8.1 Installation The Codend CLI is distributed as an npm package. You may install it globally on your development machine using npm install -g codend. By installing the CLI, you agree to these Terms and any applicable open-source licenses governing the CLI package's dependencies. 8.2 CLI Authentication The CLI authenticates with the Codend backend using Firebase ID tokens obtained through the sign-in flow. You must maintain an active Codend account to use authenticated CLI features. Unauthenticated use of the CLI may be available in limited preview mode. 8.3 Workspace Initialization When you run codend init in a project directory, the CLI scans your project files and generates a workspace map at .codend/workspace.json. This file is used to provide context to the AI model. You are responsible for ensuring that no sensitive files (credentials, private keys, personal data) are included in directories accessible to codend init. You may use a .codendignore file to exclude sensitive directories and files. 8.4 CLI Version Updates We strongly recommend keeping the CLI updated to the latest version. We may deprecate older CLI versions and require users to upgrade to continue accessing the Service. We will provide at least 30 days' notice before deprecating a CLI version. 8.5 Session Persistence The CLI stores session history locally in your user configuration directory. Sessions may optionally be synced to the Codend web dashboard. You are responsible for the security of locally stored session files, which may contain your conversation history. 8.6 Resume Feature The CLI supports session resumption via the codend resume <session-id> command. Resuming a session in a different directory from the original session will trigger a confirmation prompt. You should only resume sessions in trusted environments and on machines you control.
